Terms of Service

These Terms of Service ("Terms") govern your access to and use of the UptimeGrid website, dashboard, agent software, and related services (collectively, the "Service") provided by UptimeGrid ("UptimeGrid", "we", "us", or "our"). By creating an account, subscribing to a paid plan, or otherwise using the Service, you agree to be bound by these Terms.

1. The Service

UptimeGrid is a cloud-hosted (SaaS) distributed uptime monitoring platform. The Service consists of a hosted web dashboard, a hosted API, and lightweight agent binaries that you install inside your own infrastructure. Agents push monitoring results to our hosted hub, which aggregates and displays them. UptimeGrid is not sold as a self-hosted or on-premise product; all backend services and data storage run on our infrastructure.

2. Accounts

  • You must provide accurate, complete information when creating an account.
  • You are responsible for safeguarding your password and for all activity that occurs under your account.
  • You must be at least 18 years of age, or the age of legal majority in your jurisdiction, to use the Service.
  • You must promptly notify us of any unauthorized use of your account.

3. Subscriptions and Billing

The Service is offered on a recurring subscription basis (monthly or annual, as selected at checkout). By subscribing, you authorize us and our payment processor (Lemon Squeezy) to charge your payment method the applicable fees at the beginning of each billing period until your subscription is cancelled.

  • Prices are listed on our pricing page and may be updated from time to time. We will give you at least 30 days' notice before any price increase takes effect.
  • All fees are exclusive of taxes; you are responsible for any applicable VAT, GST, sales tax, or similar.
  • You may cancel your subscription at any time from your account settings; cancellation takes effect at the end of the current billing period.

4. Acceptable Use

You agree not to:

  • Use the Service to monitor endpoints you do not own or have explicit permission to monitor.
  • Use the Service in any way that could damage, disable, overburden, or impair our infrastructure.
  • Attempt to gain unauthorized access to the Service, other accounts, or related systems.
  • Reverse-engineer, decompile, or attempt to extract the source code of any part of the Service except as expressly permitted by law.
  • Use the Service to send spam, distribute malware, or conduct any unlawful activity.
  • Resell, sublicense, or white-label the Service without our prior written consent.

5. Customer Data

You retain all rights to the data you submit to the Service ("Customer Data"), including monitor configurations, check results, and account metadata. You grant UptimeGrid a worldwide, non-exclusive licence to host, process, and display Customer Data solely as necessary to provide the Service. Our handling of personal data is described in our Privacy Policy.

6. Intellectual Property

The Service, including all software, designs, trademarks, and documentation, is owned by UptimeGrid and protected by intellectual-property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service during your subscription. The agent binaries are licensed for use solely in connection with an active UptimeGrid account.

7. Service Availability

We strive for high availability but do not guarantee uninterrupted access. We may perform scheduled maintenance, deploy updates, or experience unforeseen outages. Enterprise customers may receive a separate Service Level Agreement (SLA).

8. Termination

You may terminate your account at any time. We may suspend or terminate your access to the Service if you breach these Terms, fail to pay fees, or use the Service in a way that risks harm to us or others. On termination, your right to use the Service ends and we may delete your Customer Data after a reasonable retention period.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT IT WILL DETECT EVERY OUTAGE OR FAILURE IN YOUR INFRASTRUCTURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UPTIMEGRID'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (USD $100). IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

11. Indemnification

You agree to defend, indemnify, and hold harmless UptimeGrid from and against any claims, liabilities, damages, losses, and expenses arising from your use of the Service or your breach of these Terms.

12. Changes to the Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or via the dashboard at least 30 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the jurisdiction in which UptimeGrid is established, without regard to its conflict-of-law principles. Any dispute will be resolved exclusively in the competent courts of that jurisdiction.
